Purpose
LatinRedLight Swingers Community is an adult social networking service, that allows members to create unique personal profiles online in order to find and communicate with old and new friends. The www.latinredlight.com portal is a private meeting place, which provides services for adults who wish to communicate online with other adults, to interact and develop networks of friends and contacts, for social reasons only. We provide our Members with access to online facilities for social networking, based on shared interests. By accessing our Website or registering as a Member of the Site, you are acknowledging that you have read and understood these Terms and Conditions and agree to be legally bound by them. This Agreement sets out the legally binding terms for your use of the Website and your Membership in the Service. LatinRedLight Community may modify this Agreement from time to time and such modification shall be effective upon posting by LatinRedLight Community on the Website. You agree to be bound to any changes to this Agreement when you use the Service after any such modification is posted. This Agreement includes LatinRedLight Community's policy for acceptable use and content posted on the Website, your rights, obligations and restrictions regarding your use of the Website and the Service and LatinRedLight Community's Privacy Policy.
By completing your application for membership in LatinRedLight, you acknowledge that you have read the Terms and Conditions of Membership, and that you accept the terms and conditions contained herein, and agree to comply and abide by them.

LatinRedLight Community reserves the right, in its sole discretion, to reject, refuse to post or remove any posting (including email) by you, or to restrict, suspend, or terminate your access to all or any part of the Website and/or Services at any time, for any or no reason, with or without prior notice, and without liability.
By participating in any offline LatinRedLight Community event, you agree to release and hold LatinRedLight Community harmless from any and all losses, damages, rights, claims, and actions of any kind including, without limitation, personal injuries, death, and property damage, either directly or indirectly related to or arising from your participation in any such offline LatinRedLight Community event.
The administration and management of LatinRedLight reserves the right, at its sole and absolute discretion, to refuse membership to any person, or to terminate any members membership, without notice, for any reason whatsoever, including but not limited to failure of a member to comply with the Terms and Conditions of Membership or violation of the Portal, sponsored activities and events Code of Conduct described below.
Code of Conduct
This portal is a private club. Members must conduct their membership activities in the spirit for which this club has been created. Members will not harass, abuse or insult other members, management or administration personnel, and will not use offensive or obscene words, names or phrases in any of their online communications. Members agree to respect the views of all members at all times, and to demonstrate helpfulness and show understanding for the wishes and safety of all members. This shall also be meant to prohibit the forwarding of any obscene or offensive materials, or the use of this website for the transmission of any advertising or other materials for commercial purposes. You represent and warrant that you shall not use your Profile to: advertise for, or make any reference to, any other website, sell any product or service, attempt to attract our Members or Visitors to any other website; or use any Textual Content for any commercial purpose.
Anti Spam Policy: Zero Tolerance
It is our intention and desire to protect our members from all types of undesirable mail. Any unsolicited commercial or promotional messages sent to other members are considered SPAM and will result in immediate account termination. Prohibited activities include; promoting other websites, other clubs or posting or publishing a party invitation to other than specific members.
TERMS AND CONDITIONS
Your Interactions
You are solely responsible for your interactions and communication with other Members. You understand that LatinRedLight Community does not in any way screen its Members, nor does LatinRedLight Community inquire into the backgrounds of its Members or attempt to verify the statements of its Members. LatinRedLight Community makes no representations or warranties as to the conduct of Members or their compatibility with any current or future Members. We do however recommend that if you choose to meet or exchange personal information with any member of LatinRedLight Community then you should take it upon yourself to do a background check on said person.
In no event shall LatinRedLight Community be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to the conduct of you or anyone else in connection with the use of the Service, including without limitation, bodily injury, emotional distress, and/or any other damages resulting from communications or meetings with other registered users of this Service or persons you meet through this Service.
Eligibility
Membership in the Service where void, is prohibited. By using the Website and the Service, you represent and warrant that all registration information you submit is truthful and accurate and that you agree to maintain the accuracy of such information. You further represent and warrant that you are 18 years of age or older or 21 years of age or older, where applicable by law and that your use of the LatinRedLight Community shall not violate any applicable law or regulation. Your profile may be deleted without warning, if it is found that you are misrepresenting your age. Your Membership is solely for your personal use, and you shall not authorize others to use your account, including your profile or email address. You are solely responsible for all content published or displayed through your account, including any email messages, and for your interactions with other members.
Non Commercial Use by Members.
The Website is for the personal use of Members only and may not be used in connection with any commercial endeavors, except those that are specifically endorsed or approved by the management of LatinRedLight Community. Illegal and/or unauthorized use of the Website, including collecting usernames and/or email addresses of Members by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the Website will be investigated. Commercial advertisements, affiliate links, and other forms of solicitation may be removed from member profiles without notice and may result in termination of membership privileges. Appropriate legal action will be taken by LatinRedLight Community for any illegal or unauthorized use of the Website.
Content Posted on the Site.
a. You understand and agree that LatinRedLight Community may review and delete any content, messages, LatinRedLight Community Messenger messages, photos, videos, music or profiles (collectively, "Content") that in the sole judgment of LatinRedLight Community violate this Agreement or which may be offensive, illegal or violate the rights, harm, or threaten the safety of any Member.
b. You are solely responsible for the Content that you publish or display (hereinafter, "post") on the Service or any material or information that you transmit to other Members.
c. By posting any Content to the public areas of the Website, you hereby grant to LatinRedLight Community the non-exclusive, fully paid, worldwide license to use, publicly perform and display such Content on the Website. This license will terminate at the time you remove such Content from the Website.
d. The following is a partial list of the kind of Content that is illegal or prohibited on the Website. LatinRedLight Community reserves the right to investigate and take appropriate legal action in its sole discretion against anyone who violates this provision, including without limitation, removing the offending communication from the Service and terminating the membership of such violators. Prohibited Content includes Content that:
i. is patently offensive and promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
ii. harasses or advocates harassment of another person;
iii. involves the transmission of "junk mail", "chain letters," or unsolicited mass mailing or "spamming";
iv. promotes information that you know is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
v. promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files;
vi. contains restricted or password only access pages or hidden pages or images (those not linked to or from another accessible page);
vii. provides material that exploits people under the age of 18 in a sexual or violent manner, or solicits personal information from anyone under 18;
viii. provides instructional information about illegal activities such as making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;
ix. solicits passwords or personal identifying information for commercial or unlawful purposes from other users;
x. involves commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes.
e. You must use the Service in a manner consistent with any and all applicable laws and regulations.
f. You may not engage in advertising to, or solicitation of, any Member to buy or sell any products or services through the Service. You may not transmit any chain letters or junk email to other Members. Although LatinRedLight Community cannot monitor the conduct of its Members off the Website, it is also a violation of these rules to use any information obtained from the Service in order to harass, abuse, or harm another person, or in order to contact, advertise to, solicit, or sell to any Member without their prior explicit consent. In order to protect our Members from such advertising or solicitation, LatinRedLight Community reserves the right to restrict the number of emails which a Member may send to other Members in any 24-hour period to a number which LatinRedLight Community deems appropriate in its sole discretion.
g. You may not cover or obscure the banner advertisements on your personal profile page, or any LatinRedLight Community page via HTML/CSS or any other means.
h. Any automated use of the system, such as using scripts to add friends, is prohibited.
i. You may not attempt to impersonate another user or person who is not a member of LatinRedLight Community.
j. You may not use the account, username, or password of another Member at any time nor may you disclose your password to any third party or permit any third party to access your account. k. You may not sell or otherwise transfer your profile.
Indemnity.
You agree to indemnify and hold LatinRedLight Community, its subsidiaries, affiliates, officers, agents, and other partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Service in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above.
Additional Terms and Conditions
A. It is understood and acknowledged that LatinRedLight shall not be responsible or liable for temporary or intermittent problems or interruptions of the service provided, whether due to problems with servers or software, or whether due to a members hardware or software capabilities.
B. Members acknowledge and agree that all content produced by this portal or its members become the tangible and intellectual property of LatinRedLight and is copyrighted accordingly. Any content produced by this club may be used by LatinRedLight for any business purpose whatsoever.
C. Members acknowledge and agree that they will be solely responsible for their actions and for their own safety, and that they will take all necessary care and due diligence, before divulging any private (non-published) information to other parties, or making private arrangements with any other members.
E. Members acknowledge and consent to the random monitoring of members transmissions by LatinRedLight, to attempt to ensure compliance by the members with the Code of Conduct. This shall not be meant to be a guaranty by LatinRedLight, as monitoring all transmissions would not be feasible or practical.
F. You will not upload, email or otherwise transmit any images, material, or other content that is intentionally false, defamatory, unlawfully threatening, unlawfully harassing, illegal, abusive, or otherwise in violation of any of the guidelines posted on our website or in our Terms.
G. You will not disseminate materials that impact or invade the privacy of others, such as photographs, video clips, sound recordings, personally identifiable information, or other materials that reveal personal, private or sensitive information about another person, without that person’s consent.
H. You will not infringe any third party's copyright, patent, trademark, trade secret, or other proprietary rights or rights of publicity or privacy. No material may be transmitted over the website without the copyright owner's permission, or without a legitimate "fair use" justification for the transmittal.
I. You will not transmit materials that contain any viruses, Trojan horses, worms, time bombs, cancel bots, or other computer-programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data, or personal information.
J. You will not seek to use for financial gain the Website, related computer facilities, or information available on the Website unless prior written authorization has been given by LatinRedLight.
K. You will not use any Member email address obtained from our portal for any purpose other than as directed by that Member. Notwithstanding the foregoing, under no circumstances including, but not limited to, direction by said Member, shall you use any email address to send advertisements or other solicitation to our Members.
L. The information utilized by the LatinRedLight is provided solely by the Member, without independent verification by us. For that reason, all members acknowledge and agree that the information they provide shall be honest and accurate as to his or her personal details. Each member acknowledges and agrees that any information he or she submits to LatinRedLight for publication can be used, unconditionally, by LatinRedLight.
M. The membership in LatinRedLight is personal and belongs solely to the applicant. The membership is not transferable. In the situation with a couples’ membership, ownership of the membership will be construed as belonging to the party by whom payment is made to LatinRedLight.
N. Failure by any member to make timely payment of membership fees will result in termination of membership, and the members profile could be at our discretion, immediately deleted from the LatinRedLight database. If a member has established automatic withdrawal for payment of membership fees, and that membership terminates for any reason, it is the member’s responsibility to cancel the automatic payment. By default the membership recurring billing is switched on. No refunds will be given for overpayment resulting from the member failure to terminate the automatic payment.
O. If a membership is terminated for any reason, whether by LatinRedLight or the member, no refund will be given for any prepaid portion of the membership fees.
P. You are solely responsible for your interactions with other LatinRedLight Community Members. LatinRedLight Community reserves the right, but has no obligation, to monitor disputes between you and other Members. If you as a Member, have been offended by the acts or behavior of another Member who has violated the LatinRedLight Code of Conduct or any of the terms and conditions of this Membership Agreement, it is your responsibility to report such behavior to LatinRedLight administration staff. Upon receiving such notification, LatinRedLight will monitor the e-mails of all of the parties involved. If offensive behavior continues, membership of the offending member(s) will be terminated, at the sole discretion of LatinRedLight. Further, if any monitored e-mails contain language involving threats, or any other violations of law, such e-mails will be forwarded to the appropriate law enforcement agencies.
Q. You agree that when joining, LatinRedLight will send to your personal registered e-mail, account reminders, activity in your profile notices and occasional promotional messages.
R. A lifetime membership is for the lifetime of the website or its current ownership. Lifetime does not mean your lifetime. LatinRedLight keeps the right to cancel a lifetime membership at any time for any reason. If you cancel your own lifetime membership and decide later to create a new account, it’s up to LatinRedLight to decide a reinstatement of your lifetime membership. If an account is not used for 180 days, the account will be removed.
Limitation on Liability.
IN NO EVENT SHALL LatinRedLight Community BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT DAMAGES ARISING FROM YOUR USE OF THE WEB SITE OR THE SERVICE, EVEN IF LatinRedLight Community HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, LatinRedLight Community LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO AMOUNT PAID, IF ANY, BY YOU TO LatinRedLight Community FOR THE SERVICE DURING THE TERM OF MEMBERSHIP.
This Agreement is made by the parties in the State of Florida and the United States of America, and is to be construed, interpreted, enforced and governed by and in accordance with such laws (excluding the principals thereof governing conflicts of law) and federal law, in the event, and only to the extent, federal law preempts the law of the State of Florida. Venue for any litigation concerning this Agreement shall be Miami-Dade County, Florida. The parties hereby waive any right to demand trial by jury for any litigation arising out of or in connection with this Agreement.
No civil action concerning any dispute arising under this Agreement shall be instituted before any court and all such disputes shall be submitted to final and binding arbitration by a three man panel. Each party shall select one arbitrator, who will in turn select a third arbitrator. All costs and expenses of the arbitration, including actual attorney's fees, shall be allocated among the parties according to the arbitrators' discretion. The arbitrators' award resulting from such arbitration may be confirmed and entered as a final judgment in any court of competent jurisdiction and enforced accordingly. Further, the parties hereto expressly agree that proceeding to arbitration and obtaining an award thereunder shall be a condition precedent to the bringing or maintaining of any action in any court with respect to any dispute arising under this Agreement, except for the institution of a civil action to maintain the status quo during the pendency of any arbitration proceeding.
Disclaimer
LatinRedLight cannot be held responsible for any actions or statements of any of its members, nor any actions resulting from the illegal or irresponsible actions of any of its members or for any actions by any third party resulting from membership to this club. The service provided is an 'as seen' basis and because of the immense variety of selection and matching criteria does not offer any guarantees that suitable matches will be found. This club will endeavor to provide a level of service as indicated in all this club published materials. This club agrees to the best of its ability to keep private any information submitted by members which is not for public display but, however, cannot be held responsible for any illegal actions by any third party which breaches this agreement.
